ROC & Annual Filings
Annual filings are not optional and the penalties are per day, uncapped. Every registered company and LLP owes them, including ones that did no business at all last year.

Overview
Best suited to. Every private limited company, OPC, section 8 company and LLP on the register — trading, dormant or somewhere in between.
How we price it. One fixed professional fee, agreed in writing before any work begins, with government fees and statutory charges itemised separately and payable at actuals. If the scope changes, we tell you before doing the work.
What’s included
- 01
Financial statements
Balance sheet, profit and loss and notes prepared in Schedule III format and readied for adoption.
- 02
Board and general meetings
Notices, agenda, minutes and resolutions drafted and maintained — the paperwork that is missing in most self-managed companies.
- 03
AOC-4 and MGT-7
Financial statements and annual return filed, with MGT-7A where the company qualifies as a small company or OPC.
- 04
LLP filings
Form 8 statement of account and solvency, and Form 11 annual return.
- 05
Director KYC
DIR-3 KYC for every director each year. Missing it deactivates the DIN and blocks every other filing.
- 06
Register maintenance
Statutory registers of members, directors and charges kept current, so a due diligence does not stall.
Documents required
Collected once, digitally. We check the whole set before anything is filed — document problems are what turn a two-week job into a six-week one.

- Details of loans, investments and related party transactions

Questions
Q1My company did no business. Do I still file?
Yes. A dormant company still files its annual return and financial statements. Doing nothing is what turns a small fee into a large penalty and eventually into director disqualification.
Q2What is the penalty for late filing?
A per-day additional fee with no upper cap, on top of the normal fee. Prolonged default can lead to prosecution and disqualification of directors under section 164.
Q3What is DIR-3 KYC?
An annual KYC filing for every person holding a DIN. Miss it and the DIN is deactivated, which blocks every other filing the company needs to make until it is reactivated with a fee.
Q4Can you clean up several years of backlog?
Yes, and we do it often. We quantify the full additional-fee exposure across all pending years before starting, so you decide with the real number in front of you.
